Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProPromptGenius (the "Service"), which is built and operated by The Chad Barr Group ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 13 years old to use the Service.

2. The Service

ProPromptGenius rewrites and evaluates prompts for third-party AI models. Outputs are generated by machine learning models and may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing outputs before relying on them, and for complying with the acceptable-use policies of the underlying model providers.

3. Plans and features

• Free — 10 optimizations per calendar month; limited history and features.
• Pro — unlimited optimizations, expanded history, chains, and reports.
• Empire — everything in Pro plus the Builder chat, Execute engine, and priority features.

Feature sets and limits may change. We will give reasonable notice of material reductions to paid plans.

4. Billing, renewal & proration

Paid subscriptions are billed in advance through Stripe on a monthly or yearly basis, and automatically renew at the end of each billing period until canceled. By subscribing, you authorize us and Stripe to charge your saved payment method for each renewal at the then-current price.

Upgrades (immediate, prorated)

When you upgrade to a higher-tier plan or switch from monthly to yearly during an active period, the change takes effect immediately. Stripe automatically calculates a prorated charge for the remaining days of the new plan and credits the unused portion of your previous plan. Your renewal date resets to reflect the new plan.

Downgrades (end of current period)

Downgrades to a lower-tier plan or from yearly to monthly are scheduled to take effect at the end of your current paid period. You keep access to your existing tier until that date, and no proration or refund is issued for the unused portion.

Failed payments

If a renewal payment fails, Stripe will retry over several days. If all retries fail, your subscription will be canceled and your account will return to the Free tier. Data is retained per the Privacy Policy.

5. Cancellation

You can cancel at any time from the Stripe billing portal (Profile → Manage Billing). Cancellation stops future renewals. You keep access to paid features until the end of the current billing period, after which your account reverts to the Free tier. We do not issue refunds for partial periods — canceling early does not generate a prorated refund.

6. Refunds

All charges are final and non-refundable except where required by law. If you believe a charge was made in error, reach us via the Contact page within 14 days and we will review it in good faith.

7. Taxes

Prices are shown exclusive of applicable taxes. Where required, Stripe will calculate and add sales tax, VAT, or GST at checkout based on your location. You are responsible for any taxes not collected at checkout.

8. Acceptable use

You agree not to use the Service to:

• Generate content that is unlawful, harmful, harassing, or infringes third-party rights.
• Attempt to reverse-engineer, resell, or abuse the Service or its rate limits.
• Circumvent plan limits, share accounts, or automate access without written permission.

We may suspend or terminate accounts that violate these terms or the acceptable-use policies of the underlying AI providers.

9. Your content

You retain ownership of the prompts you submit and the optimized outputs you receive. You grant us a limited license to process this content to provide the Service (including sending it to the AI provider you select). We do not use your prompts to train third-party foundation models on your behalf.

10. Disclaimer

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that AI outputs will be accurate, safe, or fit for a particular purpose.

11. Limitation of liability

To the maximum extent permitted by law, The Chad Barr Group will not be liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be announced in-app or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
